1.1 “Services” refers to all software development, consulting, implementation, maintenance, and support services provided by Exim Service Hub.
1.2 “Client” or “You” refers to any individual, business entity, or organization that engages with our services.
1.3 “Deliverables” means all work products, software, code, documentation, and materials developed by Exim Service Hub for the Client.
1.4 “Intellectual Property” includes all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
2.1 Service Provision: Exim Service Hub provides professional technology services including but not limited to software development, system integration, consulting, and technical support.
2.2 Service Agreement: All specific services, deliverables, timelines, and costs will be detailed in a separate Service Agreement or Statement of Work (SOW).
3.1 The Client agrees to provide accurate and complete information necessary for service delivery.
3.2 Client shall respond to requests for approvals and feedback in a timely manner.
3.3 All agreed-upon fees must be paid according to the payment schedule.
4.1 The Client retains all rights to materials provided to Exim Service Hub for project execution.
4.2 Unless explicitly stated in the Service Agreement, Exim Service Hub retains ownership of pre-existing intellectual property, development tools, methodologies, and generic programming components.
5.1 Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement.
5.2 This obligation survives the termination of any service agreement between the parties.
